Lenz & Staehelin berät WuXi STA bei Erwerb von Produktionsanlage von Bristol Myers Squibb

WuXi STA, eine Tochtergesellschaft von WuXi AppTec, einem weltweit tätigen Unternehmen für pharmazeutische Entwicklungs- und Produktionskapazitäten und Technologieplattformen für die Life-Sciences-Branche, dessen Aktien an der Shanghai Stock Exchange und der Hong Kong Stock Exchange notiert sind, hat mit Bristol Myers Squibb, einem Unternehmen, dessen Aktien an der New York Stock Exchange notiert sind, eine Vereinbarung über den Kauf der hochmodernen Produktionsanlage von Bristol Myers Squibb mit Produktionskapazitäten im kommerziellen Massstab für Kapsel- und Tabletten-Darreichungsformen in Couvet, Schweiz, getroffen. Die Unternehmen gehen davon aus, dass die Transaktion bis zum 2. Quartal 2021 abgeschlossen sein wird, vorbehaltlich der behördlichen Genehmigungen und der Erfüllung weiterer Abschlussbedingungen. Nach Abschluss der Transaktion wird WuXi STA den Betrieb und die Vermögenswerte des Standorts Couvet übernehmen, einschließlich der Anlagen und Ausrüstungen sowie der Belegschaft mit ihren technischen Fähigkeiten und ihrer Expertise.

Bristol Myers Squibb (NYSE: BMY) and WuXi STA – a subsidiary of WuXi AppTec – today announced that WuXi STA has agreed to purchase Bristol Myers Squibb’s manufacturing facility in Couvet, Switzerland. The Couvet site will be the first facility in Europe for WuXi STA, a leading Contract Development and Manufacturing Organization. The acquisition will enhance WuXi STA’s existing capabilities while growing capacity to support its partners’ life-saving work.

The companies anticipate completing the transaction by Q2 2021, subject to regulatory approvals and the satisfaction of other closing conditions. Upon closing, WuXi STA will acquire the Couvet site’s operations and assets, which include the plant and equipment, as well as a workforce with technical capabilities and expertise.
